PLEASE READ THESE TERMS CAREFULLY BEFORE USING TICKETHQ. BY ACCESSING OR USING OUR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE OUR SERVICE. THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
Welcome to TicketHQ. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Five Multimedia LLC d/b/a TicketHQ ("TicketHQ," "Company," "we," "our," or "us") governing your access to and use of the TicketHQ customer support management platform, website, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service immediately.
TicketHQ provides a software-as-a-service (SaaS) customer support management platform designed for agencies to manage support tickets, track billable hours, and provide white-labeled support portals for their clients. The Service includes:
The Service is provided "as is" and "as available." We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice or liability.
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. If you are registering on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion without prior notice or liability.
TicketHQ offers various subscription plans with different features and pricing tiers. Current pricing is available on our website and is subject to change upon 30 days' notice to existing subscribers.
We may offer a free trial period. Unless you cancel before the trial ends, your account will automatically convert to a paid subscription and you authorize us to charge your payment method.
Subscriptions are billed in advance on a monthly or annual basis. All fees are exclusive of applicable taxes, which you are responsible for paying. Payment is due immediately upon invoice and is non-refundable except as expressly provided in our Refund Policy.
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. You authorize us to charge your payment method on file for the renewal amount.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until then but will not receive a refund for any remaining portion of the billing period unless otherwise required by law.
If payment fails, we may suspend or terminate your access to the Service. You remain responsible for all amounts owed, including collection costs and reasonable attorneys' fees.
You are solely responsible for your use of the Service and any content you submit or transmit. You agree not to:
We reserve the right to investigate violations and may report illegal activities to law enforcement authorities.
The Service, including all content, features, functionality, software, designs, and trademarks, is owned by TicketHQ or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our express written consent.
You retain ownership of any content you submit through the Service ("User Content"). By submitting User Content, you grant TicketHQ a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display such content solely as necessary to provide the Service.
You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights.
The Service may integrate with or link to third-party services (including GoHighLevel, WordPress, Stripe, and others). Your use of such integrations is subject to the respective third-party terms and privacy policies.
TICKETHQ IS NOT RESPONSIBLE FOR AND DISCLAIMS ALL LIABILITY FOR:
Your use of the Service is governed by our Privacy Policy. You acknowledge and agree that TicketHQ may access, preserve, and disclose your account information and User Content if required by law or in a good faith belief that such access, preservation, or disclosure is reasonably necessary to:
If you are an agency using the Service to manage client data, you are responsible for ensuring you have proper consent and legal basis to process such data, and you agree to indemnify TicketHQ for any claims arising from your data processing activities.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TICKETHQ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM TICKETHQ OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(A) IN NO EVENT SHALL TICKETHQ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF TICKETHQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(B) TICKETHQ'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL FEES PAID BY YOU TO TICKETHQ IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100.00).
(C) THE LIMITATIONS IN THIS SECTION SHALL APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
You agree to defend, indemnify, and hold harmless TicketHQ, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and TicketHQ agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") shall be resolved exclusively through binding individual arbitration rather than in court, except as otherwise provided herein.
Arbitration shall be conducted by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration shall be conducted in English and held in Delaware or via video conference at your election. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND TICKETHQ AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
Either party may bring claims in small claims court if the claims qualify. Either party may seek injunctive or other equitable relief in court for infringement of intellectual property rights.
You may opt out of this arbitration agreement by sending written notice within 30 days of first accepting these Terms to: legal@tickethq.io with subject line "Arbitration Opt-Out."
We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:
You may terminate your account at any time through your account settings or by contacting us. No refunds will be provided for early termination except as required by applicable law.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware and waive any objection based on inconvenient forum.
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TicketHQ regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without your consent.
TicketHQ shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemic, or government actions.
These Terms do not create any third-party beneficiary rights in any individual or entity.
